This Order Form is issued under and incorporates the Master Services Agreement between Doneven Ventures LLC d/b/a DV Technologies ("Company") and the Customer identified below, together with the Terms of Service, Privacy Policy, Acceptable Use Policy, Data Processing Addendum, and AI and Call Recording Disclosure. Capitalized terms have the meanings given in those documents. The product under this Order Form is the DV Operating System ("DV OS").

2. SERVICES AND SCOPE

2.1 Implementation Services (One-Time)

Company will configure and deploy DV OS for Customer, including:

  • Deployment of the core intake-to-contract pipeline on the agreed technical stack.
  • Configuration of the Phone and Office Staff intake workspace, including guided script mode and lead capture.
  • Configuration of Call Intelligence, including transcription, intake field extraction, and quality-assurance scoring, subject to Customer provisioning the required telephony and, if elected, AI note-taking accounts, and subject to Customer's recording consent attestation in Section 6.
  • Configuration of the Instant Response layer, including response rules and the reply queue, in human-approval mode.
  • Setup of the Estimator and Field workspace, including job walk scheduling, pre-brief cards, trade checklists, photo capture with offline tolerance, the Scope and Estimate builder, and mobile field mode.
  • Configuration of the automated win pipeline, including e-signature via SignWell (or another provider Company then supports), contract templates, and the Master Contract Generator.
  • Configuration of scheduling, job costing, purchase orders, vendors, materials, subcontractor and vendor portals, time tracking, invoicing, change orders, and warranty tracking.
  • Activation of zero-lost-lead follow-up sequences at Customer-defined intervals.
  • Role-based interface configuration for Office Staff, Estimators, Field, and Owners, including the role-scoped Site Manual and training tracks.
  • White-label branding configuration, including logo, colors, and branded sign-in link.
  • Initial data import assistance (reasonable volume) and go-live support.
  • Training sessions for key users, per the tier selected below.

Integration availability. Integrations with telephony/SMS, e-signature, accounting, calendar, payment, and AI note-taking platforms are available subject to Customer provisioning the applicable accounts and to the continued availability and terms of those providers. Company does not guarantee the ongoing availability of any specific third-party integration. DV OS is designed to operate core workflows without them.

2.2 Implementation Tier

2.3 Monthly Managed Retainer

Covers secure hosting and infrastructure for DV OS, application monitoring, security updates, backups, and ongoing minor workflow adjustments up to four (4) hours per calendar month. Unused hours do not roll over. Larger changes require a change order.

Monthly Managed Retainer: $599 per month, billed in advance.

2.4 Work Beyond Included Hours

Billed at $175 per hour in thirty (30) minute increments, with prior written approval (email sufficient). Larger scoped changes are quoted under a separate change order.

2.5 Third-Party and Usage Charges Not Included

The following are billed by the applicable provider or passed through at cost, and are Customer's responsibility: telephony and SMS usage and number fees; A2P 10DLC registration fees; e-signature envelope fees; payment processing fees; AI transcription and generation usage above the included monthly allotment; accounting, calendar, and other third-party software licenses.

3. SUBSCRIPTION TERM

Initial Subscription Term: twelve (12) months beginning on the Go-Live Date, or such other date as mutually agreed in writing. Thereafter it renews automatically for successive twelve (12) month periods unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term.

4. PAYMENT SCHEDULE

Example: Standard tier $8,500 produces $4,250 due at signing. Premium tier $12,500 produces $6,250 due at signing.

5. ASSUMPTIONS AND EXCLUSIONS

Assumptions. Customer will provide timely access to decision-makers, sample data, and existing process documentation. Customer is responsible for obtaining all consents required for call recording, transcription, SMS and calling, and for the personal information of leads, prospects, clients, and its own workforce. Third-party service accounts will be provisioned by Customer or jointly; associated third-party fees are Customer's responsibility. Go-Live target is approximately 3 to 6 weeks from Order Form signature, subject to Customer responsiveness. Customer will complete the consent elections in Section 6 before the corresponding features are enabled.

Contract content. Customer is solely responsible for the content, accuracy, completeness, legal sufficiency, and enforceability of every contract and related instrument Customer uses with DV OS. The Master Contract Generator is a formatting aid only. Before approving or sending any formatted or generated document, Customer will read it word for word against its source, obtain review by qualified counsel or accept the risk of not doing so, and complete the in-product "I APPROVE" gate. See MSA Section 6.

Exclusions (unless added by change order). Major custom feature development or new product modules. Data migration beyond reasonable volume or from complex legacy systems. On-site training or travel (available at additional cost). Ongoing third-party API or software license fees. Legal review of contract templates or generated documents (Company does not provide legal advice). Carrier registration outcomes (Company will assist with A2P 10DLC submission but cannot guarantee carrier approval).

6. CONSENT ELECTIONS

Each election below is separate and optional. Declining any election does not affect pricing or the availability of the core Services.

6.1 Call Recording and Transcription

If enabled, Customer acknowledges and agrees: Customer is solely responsible for compliance with all federal and state wiretap, eavesdropping, and call recording laws, including all-party consent statutes such as California Penal Code sections 632 and 632.7. Customer will provide a clear recording disclosure at the beginning of every recorded call, before any substantive conversation, and will cease recording if any participant objects. Customer has consulted or will consult its own counsel regarding the states listed in Section 2 of the Acceptable Use Policy. Company provides tooling to assist with disclosure but does not determine or verify Customer's compliance.

6.2 SMS and Automated Calling

If enabled, Customer represents that it will obtain and document prior express consent as required by the Telephone Consumer Protection Act and applicable state law, will register with carriers as required, will honor opt-outs immediately, and will respect quiet hours.

6.3 Autonomous AI Sending (Tier 3)

[ ] Enable autonomous sending, allowing the Services to transmit communications without individual human approval. [ ] Keep human-approval mode only (default).

If enabled, Customer accepts full responsibility for every communication transmitted under its name, number, or address, and will ensure automated communications disclose that the recipient is interacting with an automated system.

6.4 AI Model Development

[ ] Opt in. Customer permits Company to use Customer Data, in de-identified form, to develop, evaluate, and improve artificial intelligence models used in the Services, on the terms in Section 8 of the Data Processing Addendum.

This election is separate from the purchase of the Services and may be withdrawn at any time by written notice, effective prospectively.

6.5 Workforce Data

If checked, Customer confirms it will issue any notice at collection required for its own personnel and will confine location capture to lawful working purposes. Company records location only at the moment of an affirmative check-in or check-out action.

6.7 Contract Content Acknowledgment

By signing this Order Form, Customer acknowledges MSA Section 6: Customer is solely responsible for contract content and for counsel review of any document formatted or generated through DV OS before approval or use. Initials: ______

7. ACCEPTANCE

By signing below or accepting electronically, Customer agrees to this Order Form and to the Master Services Agreement (including Section 6 on Contract Content, Document Formatting, and Counsel Review), Terms of Service, Privacy Policy, Acceptable Use Policy, Data Processing Addendum, and AI and Call Recording Disclosure, each of which Customer acknowledges it has had the opportunity to review. The product under this Order Form is the DV Operating System (DV OS).
